Board of Directors

Since incorporation, the Board of Directors and management have built a unique governance model for Hamilton Utilities Corporation. The result is a corporation that provides essential multi-utility services in a way that honours environmental improvement and social responsibility. It has produced a highly successful hybrid company that offers the best of two worlds - a for-profit corporation, 100 per cent owned by municipal government operating within a commercial discipline while committing to the vision of a sustainable community, environmental improvement and social responsibility.

Hamilton Utilities Corporation is not publicly traded. However, from the beginning, the Board and corporate management team has voluntarily committed to uphold the same stringent standards of corporate governance as set out by the Toronto Stock Exchange for publicly traded corporations.

Recently the Board developed Corporate Governance Guidelines that put responsibility and accountability for the customer squarely at the forefront.

Chair, Board of Directors
Alexander Adam - Alexander (Sandy) Adam is the retired Chief Executive Officer of Algoma Steel and previously held positions as Senior Vice President with Toyota Motor Manufacturing Canada and various management positions with Stelco, Inc. Mr. Adam is a member of the Institute of Corporate Directors, currently sits on the Boards of two publicly traded companies, and serves in an advisory capacity for a private company. Mr. Adam earned a B.A. from the University of Toronto and an M.B.A from the Richard Ivey School of Business.

Chair, Audit and Risk Management Committee
Paul Benson - President and Chief Executive Officer of Benson Van Laer & Co., a limited market dealer since 2003, Paul Benson was the former President of Canadian Corporate Funding Limited, and a senior partner at Ernst & Young LLP. Mr. Benson has held directorships in various corporations including Oakville Hydro Corporation, Canadian Corporate Funding Limited, Association of Corporate Growth, and UNICEF Canada. Mr. Benson is a Chartered Accountant with a B.Comm.(Honours) degree from Queen's University.

Chair, Human Resources and Corporate Governance Committee
Marnie A. Spears - Marnie Spears is the Chief Executive Officer of Ketchum Canada Inc., a national consulting firm. Ms. Spears is recognized as a leading expert in Canadian philanthropy and widely known for her expertise in human resource management, leadership coaching, and executive search. Formerly a Senior Officer at McMaster University, and currently Chair, McMaster University Foundation, Ms. Spears' expertise has been strengthened by her diverse community and civic activities in the Hamilton area. A resident of Hamilton, she is a graduate of McMaster University and, in 2006, obtained the Chartered Director (C.Dir.) designation.

Directors

Robert Dolan - Robert Dolan is a Consultant in Human Resources Strategy and Executive Search. Mr. Dolan currently has his own firm, RFD Partners Inc., and was previously a National Practice Leader with Knightsbridge Human Capital, a Management Consulting firm. Formerly Senior Vice- President, Corporate Services, Canadian National Railways. Mr. Dolan was responsible for human resources and information technology. Mr. Dolan also previously held senior executive positions at John Labatt Ltd. and the Bank of Montreal. Mr. Dolan is a member of the Board of Director of Global Container Terminals, a subsidiary of the Ontario Teacher's Pension Plan, and Conundrum Capital Corporation, a Private Equity Fund Management firm specializing in innovative Canadian real estate investments.

Fred Eisenberger - Mayor Eisenberger is the Mayor of the City of Hamilton, and graduated from Mohawk College with an Honours Degree in Planning and Community Development. He was first elected to Hamilton City Council as the representative for Ward 5 in 1991. He was re-elected in 1994 and again in 1997. During his time on Council, Mr. Eisenberger served as Chairman of the West Harbour Front Development, Environmental Services, Parks & Recreation and Licensing Committees. He also served as a member on several Committee Boards. Mr. Eisenberger became Mayor of the City of Hamilton in November 2006, and currently sits on the Fundraising Committee for the Bay Area Restoration Council of Hamilton.

Edward Minich - Former President and CEO of Otis Canada Inc. and past Chair of the McMaster University Board of Governors, Mr. Minich serves on the Boards of the Oakville Hospital Foundation, the Tradeport International Corporation, and the Hamilton Port Authority. He graduated with a B.Sc. and MBA from McMaster University and, in 2004, was honoured with a Doctor of Laws degree from McMaster. In 2005, Mr. Minich obtained his Chartered Director (C. Dr.) designation.

Joe Rinaldo - Joseph Rinaldo the retired City Manager and General Manager of Finance and Corporate Services of the City of Hamilton. Prior to his role with the City of Hamilton, Mr. Rinaldo was the Commissioner of Finance and Regional Treasurer of the Region of Halton. Mr. Rinaldo also served on numerous Professional Associations, including Chairman of the Municipal Finance Officers Association, Co-Chair of a Provincial/Municipal Task Force on Financial Model/Benchmarking, member of the Public Sector Accounting and Audit Committee of the Canadian Institute of Chartered Accountants and the Board of Directors of the Society of Management Accountants of Ontario. More recently, Mr. Rinaldo served on several Advisory Committees on the Provincial/Municipal Fiscal and Service Delivery Review. Mr. Rinaldo has his CMA designation from the Certified Management Accountants of Ontario.

Joan Weppler - Joan Weppler is the retired Vice President of Dofasco, Inc. overseeing human resources, government relations, communications and legal matters. Prior to this, Ms. Weppler was a partner at a national law firm based in Toronto. Ms. Weppler has served on several Boards of Directors for a variety of companies and on the Executive Committee of her law firm. Ms. Weppler earned her B.A. and law degrees from the University of Western Ontario.
